Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website operifi.com, mobile applications, and related services (collectively, the "Services") provided by Operifi, Inc. ("Operifi," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use our Services. By using our Services, you represent that you meet these requirements.

If you are using our Services on behalf of a dental practice, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Operifi operates a workforce platform connecting dental practices with dental professionals, including hygienists, dental assistants, front office staff, and other qualified personnel. The Services include temporary shift coverage, permanent placement, credential verification, reliability scoring, communications, and related platform features.

Operifi is a technology platform. We do not employ dental professionals or operate dental practices. Professionals using our platform are independent contractors of the practices that engage them, not employees of Operifi.

3. Account Registration

To access most features, you must register for an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@operifi.com of any unauthorized access.

We may suspend or terminate accounts that violate these Terms, contain false information, or pose risks to other users or the integrity of the platform.

4. User Conduct

You agree not to:

  • Provide false, misleading, or fraudulent information
  • Misrepresent your credentials, licenses, certifications, or qualifications
  • Use the Services for any unlawful purpose
  • Harass, abuse, threaten, or discriminate against other users
  • Circumvent the platform to conduct transactions outside Operifi
  • Solicit users for purposes unrelated to legitimate platform activity
  • Attempt to reverse engineer, decompile, or hack any portion of the Services
  • Use automated tools, scrapers, or bots to access the Services without our written permission
  • Upload viruses, malware, or other harmful code
  • Interfere with the proper functioning of the Services
  • Violate any applicable law, regulation, or third-party right

5. Verification and Credentials

Dental professionals using the Services must provide accurate professional credentials, licenses, certifications, and background information. By submitting this information, you authorize Operifi and its service providers to verify your credentials through state licensing boards, background check providers, and other verification services.

Dental practices are responsible for verifying that any professional engaged through the platform is appropriately qualified and licensed for the work to be performed in the practice's jurisdiction.

6. Subscription Plans and Payments

Subscriptions

Dental practices subscribe to the Services under one of our published pricing tiers. Subscriptions are billed in advance on the schedule selected at signup. By subscribing, you authorize Operifi to charge the payment method on file at each billing interval until you cancel.

Transaction Fees

Operifi charges transaction fees on shifts booked through the platform. Current transaction fee rates are published on our pricing page and may be updated with notice. Transaction fees apply to the gross shift compensation and are charged in addition to subscription fees.

Founding Office and Early Bird Pricing

Founding Office subscribers receive Early Bird transaction pricing for a defined period starting on their market activation date, as described in their signup confirmation. Founding Office status does not transfer to acquirers or successor entities without our consent.

Refunds

Subscription fees are generally non-refundable except as required by law. Transaction fees are non-refundable once a shift is confirmed and worked.

Payment Processing

We use third-party payment processors. By providing payment information, you authorize these processors to charge your payment method according to your selected plan and any applicable transaction fees.

Late or Failed Payments

If a payment fails, we may suspend your account, charge late fees as permitted by law, and pursue collection of unpaid amounts.

7. Independent Contractor Relationship

Dental professionals engaged through the platform work as independent contractors of the engaging dental practice, not as employees of Operifi or the practice. Each party is responsible for its own tax reporting, insurance coverage, and compliance obligations.

Practices are responsible for any required workers' compensation coverage, liability insurance, and adherence to applicable employment, labor, and healthcare regulations in their jurisdiction.

8. Reliability Scores and Trust Signals

Operifi calculates reliability scores, trust signals, and other metrics based on platform activity, shift completion data, and user behavior. These metrics are proprietary to Operifi and provided for informational purposes only. They do not constitute employment recommendations, professional endorsements, or guarantees of performance.

We make no warranty regarding the accuracy or completeness of any score, rating, or signal generated by the platform.

9. Intellectual Property

All content, features, and functionality of the Services, including text, graphics, logos, software, algorithms, and the underlying technology, are owned by Operifi or our licensors and are protected by intellectual property laws. Operifi's patent applications, including USPTO Application 64/044,267, cover proprietary matching, scoring, and conversion detection methods.

You may not copy, modify, distribute, sell, or create derivative works of any portion of the Services without our written permission.

You retain ownership of content you submit to the platform but grant Operifi a worldwide, royalty-free license to use, display, and distribute that content as necessary to operate the Services.

10. Third-Party Services

The Services may integrate with or link to third-party services. We are not responsible for the content, practices, or terms of any third-party services. Your use of third-party services is subject to their separate terms and policies.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Operifi disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

Operifi is not responsible for the conduct, qualifications, performance, or actions of any user, dental practice, or dental professional. Practices and professionals engage each other at their own risk.

12. Limitation of Liability

To the fullest extent permitted by law, in no event will Operifi, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of the Services.

Operifi's total aggregate liability arising from or related to the Services will not exceed the greater of (a) the amount you paid Operifi in the 12 months preceding the claim, or (b) one hundred dollars.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Operifi and its officers, directors, employees, agents, and affiliates from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising from or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) your interactions or transactions with other users.

14. Termination

You may close your account at any time through your account settings or by contacting us at support@operifi.com.

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflicts of law principles.

Mandatory Arbitration

Any dispute, claim, or controversy arising from or related to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Houston, Texas, in English, by a single arbitrator.

You and Operifi each waive the right to a trial by jury and the right to participate in any class action, collective action, or representative proceeding.

Exceptions

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

Opt-Out

You may opt out of the arbitration agreement by sending a written notice to legal@operifi.com within 30 days of accepting these Terms. Notice must include your name, account email, and a clear statement that you are opting out.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Services at least 30 days before the changes take effect. Your continued use of the Services after changes become effective constitutes acceptance.

17. Miscellaneous

These Terms constitute the entire agreement between you and Operifi regarding the Services. If any provision is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
